Lionsgate Acquires Summit Entertainment

Lionsgate

It’s a done deal. Summit Entertainment, the studio behind all the Twilight films, has been acquired by Lionsgate for $412.5 million. The acquisition was confirmed in a joint press release issued today.

Here’s the official press release:

The transaction unites two leading studios with powerful brands and complementary assets, solidifying Lionsgate’s position as the world’s largest and most diversified independent entertainment company. By acquiring Summit, Lionsgate enhances its feature film and home entertainment offerings and further broadens its 13,000 title filmed entertainment library to include such titles as The Twilight Saga, The Hurt Locker and Red. The integration of both Summit’s domestic and international theatrical film operations will significantly enhance Lionsgate’s production and distribution capacity, while also extending the Company’s worldwide reach and creating a dominant international sales organization.

The transaction brings together Summit’s Twilight Saga feature film franchise, which has already grossed more than $2.5 billion at the worldwide box office, and Lionsgate’s highly anticipated Hunger Games franchise, which opens on March 23, 2012. Lionsgate will also continue to benefit from its premier television production and distribution business, its array of branded film and television properties, its suite of branded channels and its success as an innovator in creating and distributing content for digital platforms. Both the Lionsgate and Summit labels are expected to continue and be active in the production and distribution of films, although the combined company expects to realize significant synergies through the consolidation of administrative and other costs.

“This transaction continues Lionsgate’s long-term growth strategy of building a diversified worldwide media company through a combination of disciplined, accretive strategic acquisitions and organic growth while maintaining a solid balance sheet,” said Lionsgate Co-Chairman and Chief Executive Officer Jon Feltheimer and Vice Chairman Michael Burns. “We are uniting two powerful entertainment brands, bringing together two world-class feature film franchises to establish a commanding position in the young adult market, strengthening our global distribution infrastructure and creating a scalable platform that will result in significant and accretive financial benefits to Lionsgate shareholders. Rob Friedman and Patrick Wachsberger have built a remarkable organization, and we’re pleased to welcome Summit’s talented team to the Lionsgate family. Lionsgate’s growth has been built over the years in part by the successful acquisition and integration of companies like Trimark, Artisan, Redbus, Debmar-Mercury, Mandate and TV Guide Network and, in each case, Lionsgate has emerged stronger and the Company’s brand has become more resonant.”

“Jon Feltheimer, Michael Burns and the rest of the Lionsgate team have built an exciting and entrepreneurial content leader over the past 12 years, and we’re delighted to join together these two great companies,” said Summit Entertainment’s Co-Chairmen Rob Friedman and Patrick Wachsberger. “We believe that the combined entity will be even greater than the sum of its parts and our dramatically enlarged media platform will create tremendous opportunities for all of us within the Summit and Lionsgate families. We want to thank our employees, whose hard work and creativity have led to the successful evolution of Summit into a leading worldwide studio, and the combination of Lionsgate and Summit will be the next chapter in creating a true global media powerhouse.”

“As demonstrated by this acquisition, Lionsgate remains focused on preserving a strong balance sheet while pursuing its long-term growth strategy,” said Dr. Mark H. Rachesky, Co-Chairman of the Lionsgate Board of Directors. “We are big believers in the increasing value of content and this transaction strengthens Lionsgate’s asset base while providing significant financial benefits, including highly visible cash flow and revenue. We are looking forward to realizing the value of a Lionsgate-Summit combination for all Lionsgate shareholders.”

The majority of the purchase price was funded with cash on the balance sheet at Summit. The remainder was funded with $55 million of existing Lionsgate cash, $45 million of cash received from a newly issued series of Lionsgate convertible notes, $50 million of Lionsgate common stock and an additional $20 million of cash or stock to be issued at Lionsgate’s option within 60 days. At closing, Summit’s existing term loan was refinanced with a $500 million debt facility, secured by the collateral of the Summit assets. Although the term loan matures in 2016, the Company anticipates repaying the loan well before the maturity date, due to the significant cash flow the business is expected to generate.

In addition, this expected cash flow will facilitate the Company’s financial objective of further deleveraging Lionsgate’s balance sheet. The transaction is expected to be significantly accretive in Lionsgate’s 2013 fiscal year beginning April 1, 2012.

‘Beauty and the Beast’ Movie Review

Belle and the Beast in 'Beauty and the Beast'

“She’ll never see me as anything but a monster,” so says Robby Benson as the voice of the Beast in Disney’s beloved classic film Beauty and the Beast. The only animated movie to be nominated for an Academy Award for Best Picture returns digitally restored to the big screen for a limited engagement with one brand new addition – 3D.

The story is the same. Belle, (Paige O’Hara) the most beautiful but odd girl in the little French village, gives up her freedom to save her father from being the prisoner of the mean, terrifying Beast in his dark and scary castle. The loyal enchanted servants, including a teapot (Angela Lansbury), a candelabra named Lumiere (the late, great Jerry Orbach), and a mantel clock called Cogsworth (David Ogden Stiers), all believe that she is the one who could break the spell put upon them and their master so many years ago. So, they set out to play matchmaker between the scared, strong–willed but sweet Belle and the quick-tempered, brooding but goodhearted Beast. If they can get Belle to look past the Beast’s exterior and see his true self – a loving, caring Prince – the two might just fall in love and return the Beast and his servants to their original form.

>Charming, romantic, and elegant, Disney’s Beauty and the Beast is just as magical, endearing and fun in 2012 as it was when it was first released in 1991. All the wonderful songs, including the lovely title number “Beauty and the Beast,” plus one of the best musical production numbers to ever be put up on screen in years, “Be Our Guest,” are back. The animation looks better than ever with the digital restoration, and the voice performances from the cast are flawless.

The real question is, does the audience need to spend an extra three or sometimes five dollars to experience it in 3D? Unless the kids are dying to see the movie in 3D, the answer is no. In fact, a few times, the 3D detracts from the action in a scene rather than enhancing it (near the end of the film during the attempted siege of the castle Beauty and the Beast goes slightly out of focus trying to deliver the 3D effect, and the rain blocks the view of some of the action and characters).

Still, Disney’s Beauty and the Beast is a timeless and beautiful animated film that should never be missed when the chance to see it in the theater comes around. Make sure to go to the multiplex to visit Lumiere, Mrs. Potts, Cogsworth, Belle, and Beast, and let yourself be their guest.

GRADE: A

Beauty and the Beast in 3D hits theaters on January 13, 2012 and is rated G.

First Trailer for Wes Anderson’s ‘Moonrise Kingdom’

Bruce Willis, Tilda Swinton, Frances McDormand, Edward Norton, Jason Schwartzman, and Bill Murray plus Wes Anderson = a film I can’t wait to see. But I’m going to have to be patient until May 25, 2012 when Focus Features’ Moonrise Kingdom hits theaters.

The Plot:

Set on an island off the coast of New England in the summer of 1965, Moonrise Kingdom tells the story of two twelve-year-olds who fall in love, make a secret pact, and run away together into the wilderness. As various authorities try to hunt them down, a violent storm is brewing off-shore — and the peaceful island community is turned upside down in more ways than anyone can handle. Bruce Willis plays the local sheriff. Edward Norton is a Khaki Scout troop leader. Bill Murray and Frances McDormand portray the young girl’s parents.

The cast also includes Tilda Swinton, Jason Schwartzman, and Jared Gilman and Kara Hayward as the boy and girl.

‘Finding Nemo’ 3D Trailer is Here

Disney learned through the success of the theatrical re-release of The Lion King in 2011 that they can bring back some of their still-popular films, convert them to 3D, and then return them to theaters. Beauty and the Beast in 3D opened on January 13, 2012 and Finding Nemo in 3D is set to swim into theaters on September 14th. And in order to get the buzz started on Nemo, Disney/Pixar’s just released this new trailer for the family fish tale.

Finding Nemo follows the comedic and momentous journey of an overly protective clownfish named Marlin (voice by Albert Brooks) and his son Nemo (voice by Alexander Gould)––who become separated in the Great Barrier Reef when Nemo is unexpectedly taken far from his ocean home and dumped into a fish tank in a dentist’s office. Buoyed by the companionship of Dory (voice by Ellen DeGeneres), a friendly-but-forgetful Pacific regal blue tang, Marlin embarks on a dangerous trek and finds himself the unlikely hero of an epic effort to rescue his son––who hatches a few daring plans of his own to return safely home.

HBO Announces the 2nd Season Premiere of ‘Game of Thrones’

Game of Thrones

HBO has officially announced the return date of Game of Thrones (based on George R.R. Martin’s A Song of Ice and Fire books), one of the best shows on TV in my opinion. Game of Thrones‘ season two premiere will be on Sunday, April 1st (9:00-10:00 p.m.). The 10-episode second season will feature returning Game of Thrones cast members Emilia Clarke, Nikolaj Coster-Waldau, Emmy® winner Peter Dinklage, Michelle Fairley, Lena Headey, and Kit Harington.

The network’s also announced HBO Films’ Game Change, starring Julianne Moore, Woody Harrelson, and Ed Harris, will air on Saturday, March 10th (9:00-11:00 p.m. ET/PT). Game Change, per HBO, “follows John McCain’s (Harris) 2008 presidential campaign, from his selection of Alaska Gov. Sarah Palin (Moore) as his running mate to their ultimate defeat in the general election. Harrelson portrays Steve Schmidt, McCain’s senior campaign strategist.”

Game Change is based on the book by Mark Halperin and John Heilemann and was directed by Jay Roach from a script by Danny Strong.

In addition, HBO revealed plans to launch Girls, the network’s new comedy series starring Lena Dunham and executive produced by Judd Apatow, on Sunday, April 15th (10:30-11:00 p.m.). The 10-episode season “looks at the assorted humiliations and rare triumphs of a group of girls in their early 20s.”

Veep, the comedy series created by Armando Iannucci and starring Julia Louis-Dreyfus, will debut on Sunday, April 22nd (10:00-10:30 p.m.). The eight-episode show finds Louis-Dreyfus playing former Senator Selina Meyer who “becomes vice president, only to discover the job is nothing like she expected, but everything she was warned about.”

Veep also features Tony Hale, Anna Chlumsky, Matt Walsh, Reid Scott, Timothy C. Simons, and Sufe Bradshaw.
